Terms of Use Agreement

Your use of nourishtogether.com (the “Site”) is governed by this Terms of Use Agreement (the “Agreement”). By using the Site you: 1) acknowledge that you are no younger than 18 years old and have the power and authority to agree to the terms of this Agreement; 2) acknowledge that you have read and understand the Agreement; and 3) in consideration of the mutual promises set forth herein, accept and agree to the terms of the Agreement and agree that your use of the Site will comply with the terms of the Agreement.

If you do not agree to these terms, you should not visit, view or use the Site or obtain goods, services, or products from the Site.

“”1: Acceptance of Agreement. Your use of the Site constitutes your agreement with the terms and conditions of this Agreement. This Agreement constitutes the entire and only agreement between Nourish Together (referred to herein as “we” and “us?) and you, with regard to the Site, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site. We may amend this Agreement at any time and from time to time without specific notice to you. The latest Agreement will be posted on the Site and you should review this Agreement prior to each use of the Site. You may use the Site for lawful purposes only.

2: Informational Purposes Only. The information provided on the Site is provided by a holistic nutritionist for educational and informational purposes only and is NOT medical advice. You are advised to seek qualified advice from a licensed physician if you suspect you may have, or now have, any disease, medical condition, health problem, or health condition and You understand and agree that you will seek advice from a licensed physician for diagnosis, treatment and monitoring of any disease, medical or health condition, as these services are beyond the scope of any clinical nutritionist. You understand that the body-mind-spirit philosophy of self-help and holistic health that is offered through the Site is neither accepted nor recognized by Food and Drug Administration and that health or well-being results from lifestyle changes are neither constant nor predictable. You understand that advice and suggestions related to meals, menus, and nutritional supplements are NOT given as a diagnosis or treatment of any disease or health condition. You agree that any food preparation, handling and storage is taken at your own risk. You should speak to a licensed physician before applying any advice or technique provided on the Site, including, but not limited to, participating in any exercise, implementing any lifestyle changes or taking any supplement.

3: Copyright. The content, organization, graphics, design, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use or publication by you of any such matters or any part of the Site, except as allowed by Section 5, is strictly prohibited. You do not acquire ownership rights to any content, document or other materials viewed through the Site. The posting of information, content or materials on the Site does not constitute a waiver of any right in such content, information and materials.

4: Trademarks. “D.I.E.T.: Daily Intake of Every Thing” and “C.R.I.B.: Custom Realistic Ideal Body” are either trademarks or registered trademarks of Nourish Together. Other product and company names displayed on the Site may be trademarks of their respective owners.

5: Limited Right to Use. The viewing, printing or downloading of any work, content, graphic, form or document from the Site grants you only a limited, nonexclusive license for use solely by you for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works or other use. No part of any work, content, form or document may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical, other than for your personal use (but not for resale or redistribution).

6: Editing, Deleting and Modification. We reserve the right in our sole discretion to edit or delete any documents, information or other content appearing on the Site.

7: Indemnification. You agree to indemnify, defend and hold us and our partners, attorneys, staff and affiliates (collectively, “Affiliated Parties”) harmless from and against any liability, loss, claim and expense, including reasonable attorney’s fees, related to or arising from your use of the Site, your violation of this Agreement, your participation in any program offered or advertised through the Site, your use of any recipe, meal plan or other nutritional advice, or your implementation of any suggestion or advice provided on the Site.

8: Disclaimer and Limits. THE INFORMATION FROM OR THROUGH THE SITE ARE PROVIDED “AS-IS,” “AS AVAILABLE,” AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED (INCLUDING BUT NOT LIMITED TO THE DISCLAIMER OF ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE). THE INFORMATION AND SERVICES MAY CONTAIN BUGS, ERRORS, PROBLEMS OR OTHER LIMITATIONS. WE AND OUR AFFILIATED PARTIES HAVE NO LIABILITY WHATSOEVER FOR YOUR USE OF ANY INFORMATION OR SERVICE. WE MAKE NO REPRESENTATION OR WARRANTY THAT THE INFORMATION PROVIDED IS ACCURATE, COMPLETE, RELIABLE, OR CURRENT. IN PARTICULAR, BUT NOT AS A LIMITATION THEREOF, WE AND OUR AFFILIATED PARTIES ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LITIGATION, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ALL RESPONSIBILITY OR LIABILITY FOR ANY DAMAGES CAUSED BY VIRUSES CONTAINED WITH THE ELECTRONIC FILE CONTAINING THE FORM OR DOCUMENT IS DISCLAIMED. WE WILL NOT BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND THAT MAY RESULT FROM USE OF OR INABILITY TO USE OUR SITE. 9: Third-Party Services. We allow access to or advertise third-party merchant sites (“Merchants”) from which you may purchase certain goods or services. Merchants are responsible for all aspects of order processing, fulfillment, billing and customer service. We are not a party to the transactions entered into between you and Merchants. You agree that use of such Merchants is AT YOUR SOLE RISK AND IS WITHOUT WARRANTIES OF ANY KIND BY US, EXPRESSED, IMPLIED OR OTHERWISE INCLUDING WARRANTIES OF TITLE, FITNESS FOR PURPOSE, MERCHANTABILITY OR NON-INFRINGEMENT. UNDER NO CIRCUMSTANCES ARE WE LIABLE FOR ANY DAMAGES ARISING FROM THE TRANSACTIONS BETWEEN YOU AND MERCHANTS OR FOR ANY INFORMATION APPEARING ON MERCHANT SITES OR ANY OTHER SITE LINKED TO OUR SITE.

10: Third-Party Merchant Policies. All rules, policies (including privacy policies) and operating procedures of Merchants will apply to you while on Merchant?s sites. We are not responsible for information provided by you to Merchants or for information provided by Merchants to you. We and the Merchants are independent contractors and neither party has authority to make any representations or commitments on behalf of the other.

11: Payments & Use of Stripe. You represent and warrant that if you are purchasing something from us or from Merchants that (i) any credit information you supply is true and complete, (ii)charges incurred by you will be honored by your credit card company, and (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes. Payments made through the Site are processed by Stripe. By purchasing any product or service through Stripe, you acknowledge that you have received, read in full, and agree with the terms and conditions of use of their site: https://stripe.com/us/terms as well as the terms of their privacy policy: https://stripe.com/us/privacy (the “Stripe Agreements”), the terms of which are incorporated herein in full by reference, which contains your consent to our collection, use, retention, and disclosure of personal information as well as other matter. By purchasing a product or service through the Site, you agree not to do any of the following with the Stripe Services (as defined in the Stripe Agreements): (i) access or attempt to access Stripe systems, programs, or data that are not made available for public use; (ii) copy, reproduce, republish, upload, post, transmit, resell, or distribute in any way material from Stripe, Stripe’s website, or Stripe Services; (iii) permit any third party to use Stripe Services via a rental, lease, timesharing, service bureau, or other arrangement; (iv) transfer any rights granted to you under this Agreement; (v) work around any of the technical limitations, use any tool to enable features or functionalities that are otherwise disabled; or decompile, disassemble, or otherwise reverse engineer, except to the extent that such restriction is expressly prohibited by law; (vi) perform or attempt to perform any actions that would interfere with the normal operation, or prevent access to or use by our other users, or impose an unreasonable or disproportionately large load on our infrastructure; or (vii) use in a manner that is not expressly permitted in this Agreement. We reserve the right to not authorize or settle any transaction you submit which we believe is in violation of this Agreement, the Stripe Agreements, or exposes us, you, Stripe or its users, financial services providers, to harm or unnecessary risk, including but not limited to fraud and other criminal acts. By purchasing products or services through the Site, you grant us and Stripe authorization to share information with law enforcement about you, your transactions, your use of the Site and your use of Stripe if we reasonably suspect that your use has been for an unauthorized, illegal, or criminal purpose.

12: Email & Newsletters. By submitting your email address on Site, you agree to receive email from us, including newsletters. You can cancel your participation in the email lists at any time by clicking the opt-out link or other unsubscribe option that is included in the respective email. We only send emails to people who have authorized us to contact them.

13: Privacy Policy. We use cookies and web server logs to collect information about your use of the Site. These technologies do not capture your personal information, however, we may use this information to send focused online banner advertisements or other such responses to you. In some instances, such as when signing up for a program or purchasing products through our Site, we will collect personally identifiable information that you provide, such as name, address, phone number, email address, and credit card information. By providing this personally identifiable information, you represent that you have the authority to provide the personally identifiable information and that you authorize us to collect, store, and disclose the information for the following purposes: (1) to deliver the products and/or services to you that you have requested; (2) to reach you, when necessary, regarding your use of the Site or products or services purchased; (3) if we determine that disclosure is required by law and (4) to improve the Site.

14: Links to and Interaction with other Web Sites. The Site contains links to other sites. We are not responsible for the content, accuracy or opinions express in such sites, and such sites are not investigated, monitored or checked for accuracy or completeness by us. Inclusion of any linked site on the Site does not imply approval or endorsement of the linked site by us. If you decide to leave the Site and access a third-party site, you do so at your own risk. We may offer direct interaction with external social networks and platforms such as Facebook, Twitter and Google+. You agree that connecting with these, or other, social networks from the Site may allow us and the social network to collect traffic and usage data.

15: Miscellaneous. This Agreement shall be treated as a Massachusetts contract, shall be governed by and construed in accordance with Massachusetts laws and you expressly submit to the exclusive jurisdiction of Norfolk, Massachusetts courts and consent to extra-territorial service of process. All actions shall be subject to the limitations set forth in the Agreement. The language in this Agreement shall be interpreted as to its fair meaning and not strictly for or against either party. Should any part of this Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision. Paragraph headings are included for convenience only and shall not affect the construction or interpretation of any provision. If any term, provision, covenant, or condition of this Agreement is held to be invalid, void, or unenforceable, the remainder of the Agreement shall remain in full force and effect.
